In a joint venture with local companies, Disney plans to construct and operate a park which is expected to cover the same area as almost 960 football pitches.
Disney issued a statement confirming its interaction with Shanghai authorities saying that they "have taken another step forward in the approval process."
The Chinese cabinet first approved the project in November 2009, paving the way for the latest agreement.
Various government departments still have to approve the plans, but it is expected that the park will be completed by 2014.
Disney is hoping the new Shanghai park will boost visitors to Disneyland Hong Kong
The deal is estimated to be worth £2.15bn and has been described as one of the largest ever foreign investments in China.
The world's biggest theme park operator has wanted to build in Shanghai for some time due to its reputation as the financial hub of China with over 20 million inhabitants.
Shanghai also has several population centres surrounding it, making it a more appealing location than Beijing for the American giant.
With parks in Paris, Tokyo and Hong Kong, the Shanghai park will be Disney's fourth outside of the US.
Disneyland Hong Kong reported a loss last year and has struggled since opening five years ago.
